Terms of Service

These Terms of Service ("Terms") are a contract between Maksym Chernysh, an individual established in Italy ("TourMan", "we", "us"), of 15A Via dei Licheni, Roma, Lazio 00172, Italy, and the organization registering an account ("Customer", "you"). By creating an account or using the Service, Customer agrees to these Terms. The Data Processing Agreement and Privacy Policy are incorporated into these Terms by reference.

1. The Service

TourMan is a tour-operator management platform: booking management, scheduling, guide/team coordination, and guest communication (email parsing, WhatsApp messaging) (the "Service").

2. Accounts and Users

Customer is responsible for all activity under its account, including every individual user it adds (Admin, Manager, or Guide roles) and for keeping their credentials confidential.

Customer must ensure the people it invites are authorized to act on its behalf and that any guest personal data it causes to flow into the Service was lawfully collected in the first place — this is Customer's obligation as Controller under the DPA, not something TourMan can verify.

3. Subscription, trial, and billing

Trial. New organizations get a 60-day free trial from the date billing details are added, before any charge applies.

Plans and limits. Each subscription is tied to a plan with an annual booking limit and included tours/users, as described on our pricing page at the time of signup or plan change.

Overage. Bookings beyond the plan's annual limit are billed at the end of the billing year, in blocks of 100 bookings (rounded up), at the overage rate for Customer's plan.

Add-ons. Extra users, extra tours, auto-assign, and WhatsApp messaging are optional add-ons billed in addition to the base plan, as selected by Customer.

Payment. Billing and payment are processed by Stripe. Customer authorizes recurring charges for its plan, add-ons, and any overage. Prices exclude taxes unless stated otherwise; Customer is responsible for any applicable taxes.

Payment failure. If a payment fails, Stripe automatically retries it; TourMan reserves the right to suspend or terminate access for non-payment, including once Stripe's retries are exhausted and the subscription is canceled.

4. Cancellation and termination

Customer may cancel at any time from the Billing page; cancellation takes effect at the end of the current billing period, and Customer keeps access until then.

TourMan may suspend or terminate Customer's account for material breach of these Terms (including the Acceptable Use section below) that Customer does not cure within 30 days of notice. This cure period does not apply to a breach that poses an immediate risk to the Service, other organizations, or any person — including unauthorized access attempts and unlawful use — which TourMan may act on immediately.

On termination, Customer Data is handled per the DPA: deletion is scheduled 30 days out, reversible in that window, then permanent.

5. Acceptable use

Customer will not use the Service to: send unsolicited or unlawful messages to guests; upload content it doesn't have the right to send; attempt to access another organization's data; reverse-engineer or resell the Service; or use it in a way that violates applicable law, including data protection law governing its guests' personal data.

6. Intellectual property

TourMan owns the Service — the software, design, and platform itself. These Terms grant Customer a right to use it, not ownership of it.

Customer owns its own business data (tour configurations, booking records, guest data it's responsible for as Controller). Nothing here changes the Controller/Processor roles set out in the DPA.

7. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with at least the same care it uses for its own confidential information, and use it only to perform under these Terms.

8. Data protection

Processing of guests' personal data is governed by the DPA; processing of Customer's own users' account data is governed by our Privacy Policy. Both are incorporated by reference.

9. Disclaimers

The Service is provided "as is," without any uptime or availability guarantee.

TourMan does not guarantee the accuracy of data parsed automatically from forwarded emails — Customer should verify booking details before relying on them for guest-facing decisions.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, or consequential damages, or for lost profits or lost data, arising out of or related to these Terms or the Service.

Each party's total liability arising out of or related to these Terms is capped at the total fees Customer paid TourMan in the 12 months preceding the event giving rise to the claim.

Nothing in this section limits either party's liability for gross negligence, wilful misconduct, or obligations that cannot be limited under mandatory Italian or EU law — including obligations under the GDPR.

11. Changes to these Terms

TourMan may update these Terms; for a material change, every organization Admin will be notified by email at least 30 days before it takes effect. Continued use after that date means acceptance.

12. Governing law

These Terms are governed by the laws of Italy, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Rome, Italy.

13. Miscellaneous

  • These Terms, the DPA, and the Privacy Policy are the entire agreement between the parties on this subject.
  • If any provision is found unenforceable, the rest remains in effect.
  • Customer may not assign these Terms without TourMan's consent. TourMan may assign these Terms — including to a company TourMan later incorporates to continue operating the Service, or to a third party acquiring the Service or substantially all the assets used to provide it — without needing Customer's separate consent, provided the assignee assumes TourMan's obligations in full.
  • Continuity. TourMan operates the Service as an individual, with no company or designated successor. If TourMan becomes unable to continue operating the Service (including due to death or incapacity), the Service may be discontinued without a successor and without the deletion process described in the DPA being carried out by anyone.
